Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Apna Store software platform (the "Service"), operated by Shubham Garg (Sole Proprietor) ("Apna Store", "we", "us"). By creating an account or using the Service, you agree to be bound by these Terms.

1. What Apna Store is

Apna Store is a Software-as-a-Service (SaaS) platform that enables small businesses in India to run their own online stores — creating a product catalog, accepting orders through a shareable link, collecting payments via UPI / Razorpay / Cash on Delivery, and managing fulfilment. Apna Store is a software tool. It is not a marketplace, a facilitator of transactions, an escrow, or a payment processor.

Each seller using the Service operates their own independent business. Buyers transact directly with sellers. Apna Store does not buy, sell, or hold any goods, nor does it hold or transmit any customer funds.

2. Eligibility

To register as a seller, you must be at least 18 years old, legally competent to enter into contracts under the Indian Contract Act, 1872, and the duly authorised operator of the business you list on the platform. You agree to provide accurate, current, and complete information during registration and to keep it updated.

3. Seller responsibilities

As a seller, you are solely responsible for:

  • The accuracy, legality, and quality of products or services listed on your store.
  • Order fulfilment, delivery, returns, exchanges, refunds, and customer communication.
  • All applicable taxes including GST registration, collection, invoicing, and filings under the Central Goods and Services Tax Act, 2017.
  • Compliance with the Consumer Protection Act, 2019; the Consumer Protection (E-Commerce) Rules, 2020; the Legal Metrology (Packaged Commodities) Rules, 2011; the Food Safety and Standards Act, 2006 (if applicable); and any other laws applicable to your trade.
  • Disputes, complaints, chargebacks, or claims raised by your customers.
  • Publishing your own storefront-level policies (Terms of Sale, Returns, Shipping, Privacy) as required by applicable law and informing your customers accordingly.

4. Subscription plans and payments

Apna Store offers a free Starter plan and paid Pro (₹299/month or ₹2,499/year) and Business (₹799/month or ₹6,999/year) plans. Subscription fees are charged in advance, billed monthly or annually as selected. Fees are non-refundable except as described in our Refund and Cancellation Policy.

Payments made by your customers on your storefront flow directly from the customer to you (the seller) via your configured payment provider (your own UPI ID, your own Razorpay account, or cash). Apna Store does not receive, hold, or settle customer payments.

5. Content and intellectual property

You retain ownership of all content you upload, including product names, descriptions, images, logos, and business information. You grant Apna Store a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, and display that content solely to operate and provide the Service.

You represent and warrant that you have all necessary rights to the content you upload and that it does not infringe any third party's intellectual property, privacy, or other rights.

6. Prohibited conduct

You may not use the Service to:

  • Sell goods or services that are illegal or restricted in India, including but not limited to narcotics, weapons, counterfeit goods, stolen property, or prescription drugs without licence.
  • Misrepresent your identity, your business, or the products you list.
  • Engage in fraudulent transactions, money laundering, or circumvention of any payment gateway's compliance controls.
  • Upload content that is obscene, defamatory, discriminatory, or infringing.
  • Attempt to probe, scan, or breach the security of the Service, or to interfere with other sellers' stores.

7. Termination

You may close your account at any time. We may suspend or terminate your access without notice if you breach these Terms, if legally required to do so, or if your activity poses a risk to the Service or other users. On termination, your store and its data may be deleted after a reasonable grace period.

8. Disclaimers and limitation of liability

Apna Store is a software provider only. We do not sell, stock, fulfil, or verify any products or services listed on sellers' storefronts. We are not a party to any transaction between a buyer and a seller.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APNA STORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Apna Store is specifically not liable for any loss, damage, injury, or claim arising from:

  • Seller fraud, misrepresentation, or misconduct — including listing of counterfeit, defective, prohibited, or non-existent goods; failing to ship after accepting payment; failing to honour refunds; or any other dishonest or unlawful act by a seller towards a customer.
  • Failed, delayed, duplicated, reversed, or fraudulent payments on any third-party gateway (Razorpay, UPI, or otherwise).
  • Disputes between a buyer and a seller regarding price, quality, delivery, returns, refunds, or any other term of sale.
  • Failure to deliver, damaged goods, wrong items, or defective products.
  • A seller's non-compliance with tax, consumer protection, product safety, or any other applicable law.
  • Outages or downtime of WhatsApp, Razorpay, Supabase, Vercel, Anthropic, or any other service provider we rely on.
  • Any action taken or content generated by the AI parsing layer, including incorrect or incomplete order parsing.

Buyers who have a grievance against a seller must pursue it directly with that seller. Apna Store will cooperate with lawful requests from authorities but cannot mediate, refund, or recover funds on behalf of buyers.

9. Indemnity

You agree to indemnify, defend, and hold harmless Apna Store, its officers, employees, and contractors from any claim, damage, liability, cost, or expense (including reasonable legal fees) arising from (a) your use of the Service, (b) your breach of these Terms, (c) your violation of any law, (d) any content you upload, or (e) any dispute between you and a customer or third party.

10. Governing law and dispute resolution

These Terms are governed by the laws of India. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts at Ghaziabad, Uttar Pradesh, India.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or by email at least 15 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
